1. Definitions

“Services”: AI development, IT consulting, software delivery, and maintenance.

“Client Data”: Any data, files, or materials provided by the client for project execution.

“Deliverables”: Custom AI models, software, reports, or other outputs under this agreement.

2. Scope of Services

AIConsult agrees to provide the services outlined in the Statement of Work (SOW) or project proposal.

Client agrees to provide timely feedback, data access, and approvals to avoid delays.

3. Fees & Payment

Fees are specified in the project proposal/invoice. Payment is due within 30 days (unless otherwise agreed).

Late payments incur 1.5% monthly interest.

Additional work beyond the SOW scope will be billed separately.

4. Intellectual Property (IP)

Pre-existing IP: Each party retains ownership of their existing tools, code, or patents.

Deliverables: Upon full payment, the client receives a license (or full ownership, if specified in the SOW).

AI Models: Trained models are client-owned, but underlying algorithms/tools remain AI Consults’ IP.

5. Data Protection & Confidentiality

Both parties comply with GDPR and Swedish data laws.

Client warrants they have rights to any shared data.

AIConsult will anonymize data used for AI training unless otherwise agreed.

6. Client Responsibilities

Provide accurate data and disclose any legal/regulatory constraints (e.g., healthcare data).

Appoint a single point of contact for project coordination.

7. Warranties & Limitations

AIConsult warrants: Services will be performed with professional diligence.

No guarantee: AI models’ accuracy depends on data quality and external factors.

Liability cap: Limited to fees paid for the project (excluding gross negligence or intentional misconduct).

8. Termination

Either party may terminate with 30 days’ written notice for material breaches.

Client pays for work completed up to termination.

9. Governing Law & Disputes

Governed by Swedish law. Disputes resolved in Stockholm courts.

10. Force Majeure

Not liable for delays caused by events beyond control (e.g., pandemics, cyberattacks).

11. Amendments

Changes require written agreement by both parties.
